Governance Framework for Retained Executive Engagements

Purpose

This Charter defines the scope, authority, and operating model of the Executive Technology Leadership engagement provided by Blue Wolf Systems.

It establishes governance boundaries, executive accountability, and reporting structure to ensure technology operates as a strategically aligned enterprise asset.

Nature of Engagement

Blue Wolf Systems provides retained Chief Technology Officer leadership at the executive level.

This engagement is structured as strategic governance and architectural oversight. It is not operational IT management or project-based execution.

Executive Responsibilities

Under this Charter, Blue Wolf Systems assumes responsibility for:

  • Enterprise-aligned technology strategy and roadmap

  • Architectural standards and modernization discipline

  • Infrastructure scalability and risk posture

  • Executive and board-level visibility into technical risk

  • Capital allocation discipline across technology investments

Governance & Reporting

The engagement includes:

  • Monthly executive review of technology posture, risk, and strategic alignment

  • Quarterly board-level reporting on governance maturity, risk exposure, and capital discipline

  • Visibility into compliance posture and material exposure

  • Review of capital allocation against enterprise objectives

  • Escalation framework for material architectural or risk concerns

Cadence may be adjusted by mutual agreement as defined in the engagement contract.

Boundaries of Responsibility

Blue Wolf Systems does not assume responsibility for:

  • Day-to-day operational IT management

  • Helpdesk or ticketing oversight

  • Direct vendor contract execution

  • Project delivery staffing

Operational execution remains within the organization’s management structure unless otherwise explicitly defined in writing.

Engagement Model

The engagement operates as a retained executive partnership.
Blue Wolf Systems serves as the Client’s fractional CTO under this Charter.
Operational execution remains internal unless authority is formally delegated in writing.

Engagement-Specific Addendum

This Charter may be supplemented by engagement-specific addenda defining delegated authority, reporting cadence adjustments, or additional scope elements as agreed in writing.
